Terms and Conditions

1. Service Description

Simplinica is a clinic management platform developed by KeyTicket Solutions S.R.L. (hereinafter referred to as "Simplinica", "we", or "the provider"). The platform offers scheduling, patient management, resource allocation, and administration features for private medical clinics in Romania.

2. Eligibility

The Simplinica service is intended for legal entities and authorized individuals operating medical clinics or medical offices. By using the platform, you confirm that you have the legal capacity to enter into a contract and that you are acting as an authorized representative of your organization.

3. Account Creation and Responsibility

When creating a Simplinica account, you are responsible for maintaining the confidentiality of your access credentials and for all activities conducted through your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use Simplinica exclusively for lawful purposes and in accordance with these terms. It is prohibited to:

• Use the platform for illegal or unauthorized activities.
• Attempt unauthorized access to systems, data, or accounts of other users.
• Transmit malicious content, viruses, or harmful code.
• Intentionally overload the platform infrastructure.
• Redistribute, copy, or sublicense the platform without our written consent.

5. Intellectual Property

The Simplinica platform, including source code, design, logos, texts, and all associated materials, are the exclusive property of KeyTicket Solutions S.R.L. and are protected by copyright and intellectual property laws of Romania and the European Union. Data entered by users into the platform remains their property.

6. Limitation of Liability

Simplinica is provided "as is" and "as available". We do not guarantee that the service will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by law:

• We are not responsible for indirect, incidental, or consequential losses.
• Our total liability is limited to the amount paid by you in the last 12 months.
• We are not responsible for medical decisions made based on data managed through the platform.

7. Service Availability

We strive to maintain high availability of the Simplinica platform. However, the service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users in advance of planned downtime periods.

8. Termination

You may terminate your account at any time by contacting us at hello@keyticket.eu. We reserve the right to suspend or close your account in the event of a breach of these terms, with 30 days' prior notice, except in cases of serious breach that justify immediate action.

9. Modification of Terms

We reserve the right to modify these terms at any time. Significant changes will be communicated to users at least 30 days before they take effect, by email or through a notification in the platform. Continued use of the service after the changes take effect constitutes acceptance of the new terms.

10. Applicable Law

These terms are governed by the laws of Romania. Any dispute arising from or in connection with these terms shall be resolved by the competent courts of Oradea, Romania.

11. Dispute Resolution

In the event of a dispute, the parties will first attempt amicable resolution through direct negotiation. If the dispute cannot be resolved amicably within 30 days, it will be submitted to the competent courts in accordance with Section 10 above. EU consumers may also use the European Online Dispute Resolution (ODR) platform available at ec.europa.eu/consumers/odr.
